Overview of the Job Role

As a leading global financial services firm, JPMorgan Chase is offering a unique opportunity for an individual to join their team and contribute significantly to M&A or capital market transactions. This role is designed for a professional with a strong background in Corporate finance and accounting, public company takeover defense, and executing acquisitions and sales of private and public companies, among others. The selected candidate will be based at 270 Park Avenue, New York, NY 10017 and may be required to travel up to 20% of the time to JPMorgan Chase client sites. Key Responsibilities

The primary duties of the role involve developing content for strategic meetings with clients about M&A or capital market transactions. The successful candidate will interact daily with senior team members and client management teams to execute transactions and discuss strategic alternatives. The role also requires defining, guiding and reviewing detailed valuation analysis, including DCF, trading comparables, transaction comparables and LBO analyses. Furthermore, the individual will be involved in graduate recruiting and will provide leadership, mentorship and supervision to Associates and Analysts.

Valuation Analysis

One of the key tasks of the role involves conducting detailed valuation analysis. This includes Dividend Discount Models (DDMs), Adjusted Present Value, Economic Value Added (EVA), Present Value of future stock prices, Discounted Cash Flow (DCF), Leverage Buyout (LBO), trading comparables, precedent transactions, accretion and dilution, sum-of-the-parts, and discount rate analysis. The individual will also be required to structure and analyze mergers and acquisitions (M&A) transaction structures, incorporating legal structuring and tax aspects.

Client Interaction

The role also necessitates constant interaction with clients and third parties in consulting, accounting, legal, banking, and public relations. The individual will be responsible for coordinating data-room information exchange and drafting and reviewing legal and financial documents such as non-disclosure agreements, term sheets, offer letters, stock purchase agreements, financing agreements, and fairness opinions.

Qualifications and Skills Required

The minimum education requirement for this role is a Bachelor’s degree in Business Administration, Economics, Finance, or a related field of study plus three years of relevant experience. Alternatively, a Master’s degree in the aforementioned fields plus one year of experience in a related occupation is acceptable.

The position requires a solid understanding of corporate finance and accounting. Experience in public company takeover defense and executing acquisitions and sales of private and public companies is necessary. Proficiency in designing and analyzing M&A transaction structures and participating in all aspects of execution for buy-side, sell-side, and structured M&A transactions is also required. Familiarity with financial market data tools, including Bloomberg, FactSet, Intralinks, Datasite, and AlphaSense is a plus.
