UniCredit Ordered to Halt “Unobjective” Commerzbank Takeover Ads

Germany’s financial watchdog, BaFin, has recently instructed UniCredit, an Italian multinational banking and financial services company, to cease running advertising content that it deemed to be “unobjective” regarding its takeover bid for Commerzbank, a German international banking institution. This news comes in the wake of a protracted contest over Commerzbank, and follows a UniCredit social media campaign that was viewed across Europe, wherein Commerzbank was depicted as “neglected, uncertain, short-sighted.”

Moreover, Andrea Orcel, UniCredit’s chief executive, reportedly warned analysts that Commerzbank’s “current trajectory will put at risk its survival in the medium term.” The sentiment echoed in these statements raised concerns among the regulatory authorities.

Regulatory Response to UniCredit’s Advertisement

In response to UniCredit’s aggressive advertising and comments, BaFin characterized the advertisements as provocative and lacking objectivity. The regulator highlighted that these ads included speculative information regarding Commerzbank’s financial health. Consequently, BaFin ruled that UniCredit must abstain from making public statements “that portray the current economic situation of the target company or its subsidiaries and their future prospects in a negative, sensationalist, or unobjective manner.”

UniCredit’s Statement

Reacting to BaFin’s decision, UniCredit conveyed to the Financial Times that the controversial advertisement was intended to project a positive vision for Commerzbank. However, it acknowledged that the German translation of one word from the original English statement may have led to ambiguity, which could have been misconstrued. UniCredit immediately removed the post and clarified the facts to Commerzbank and the inquirers. The banking giant also expressed its desire for a toning down of the rhetoric so that all stakeholders can concentrate on the substance of the issue.

UniCredit’s Plans for Commerzbank

In the recent past, UniCredit has been proactively working towards its goal of acquiring Commerzbank. It has outlined a detailed plan for changes to the German lender, which it perceives as “a story of operating underperformance.” UniCredit believes that the plan is required to address the “structural weaknesses” that have been masked by financial tailwinds, and warns that this could lead to future restructurings within the bank.

The transformation blueprint proposed by UniCredit is designed to boost Commerzbank’s net profit to €5.1bn by 2028. This includes the necessity for Commerzbank to shift away from non-strategic international activities, and increase its investments in AI, technology, and staff re-skilling.
